Finanstilsynet oversees the financial reporting of entities listed at the Oslo Stock Exchange which are subject to financial reporting oversight.
Rapportering
Reporting from entities subject to financial reporting oversight (KRT-1003)
Starting this year, all issuers are to report KRT-1003 electronically through Altinn.no. The form KRT-1003 shall be completed by all entities listed on the Oslo Stock Exchange that issue shares, bonds and/or equity certificates, and that have Norway as their home state.
Issuers that are not incorporated in Norway will no longer report KRT-1003 via Questback (an online survey provider) and will therefore have to register a user in Altinn. Once a new user has been created, the username and LEI (Legal Entity Identifier) must be sent to KRT1003-rapportering@finanstilsynet.no. This information must be submitted to Finanstilsynet no later than 26 February 2021.
NOTE: The username on Altinn.no should be a generic email address. Individual usernames will not be accepted by Finanstilsynet.
Exemption from reporting deadline
For issuers with fiscal year ending 31 December 2020, the deadline for filing KRT-1003 is 10 May 2021. Issuers whose securities were delisted after December 31, 2020, can apply for exemption from the reporting obligation. Issuers with deviating fiscal year should contact Finanstilsynet for clarification of the time schedule for filing KRT-1003.
Guidance for KRT-1003
The guide below contains all questions and answers included in KRT-1003. Help text and explanations to the questions are provided. To make it easier for companies to delegate tasks and responsibilities related to the form, the guide is published in both PDF and Excel. Finanstilsynet reserves the right to make minor changes to the form upon final publication of KRT-1003 on 10 March 2021.
About KRT-1003 reporting
With effect from the fiscal year 2008, foreign issuers with Norway as their home state pursuant to section 5-4 of the Norwegian Securities Trading Act (no. 75 of 29 June 2007) must comply with the majority of the rules regarding financial reporting in chapter 5 of the Securities Trading Act and secondary regulations. Finanstilsynet (Financial Supervisory Authority of Norway) oversees the financial reporting of issuers of listed securities pursuant to section 19-1 subsection (3) of the above Act.
Each year Finanstilsynet will review a selection of annual financial statements. One of the models used for selecting financial statements for oversight is a risk-based approach. Related to this, Finanstilsynet requires a yearly report (KRT-1003) from all issuers of listed securities with Norway as their home state; see the Norwegian Securities Trading Regulations section 17-5 (2). This report gathers information about the issuer and the board of directors’ draft of the annual report as the basis for selecting financial statements for review.
