ESMA announces enforcement enforcement priorities for 2012 financial statements

ESMA (The European Securities and Markets Authority) has published a set of priority issues to be used by EU national competent authorities in assessment of listed companies 2012 financial statements.

New members join Expert Panel on Accountancy

The Ministry of Finance has appointed Kjell Magne Baksaas, Nina Rafen and Geir Moen as new members of the Expert Panel on Accountancy. Roar Inge Hoff and Reidar Jensen are appointed as alternates. Aase Aa. Lundgaard was reappointed as a member.

Valuation of investment property

Higher fees for vetting and approval of prospectuses as from 1 September

Mineral Companies - new prospectus rules

CESR is proposing new disclosure rules for what is defined as a “mineral company”, to replace previous paragraphs 131-133 in CESR’s recommendations for the consistent implementation of the European Commission’s Regulation on Prospectuses.

Finanstilsynet to control prospectuses from 1 May 2010

The Ministry of Finance has decided that the operative control of prospectuses for transferable securities that is currently performed by Oslo Børs (Oslo Stock Exchange) will be transferred to Finanstilsynet with effect from 1 May 2010. This is an element of the transposition of common European legislation in the securities area. Finanstilsynet is preparing for the transition in close co-operation with Oslo Børs.

Exemptions from periodic financial reporting requirements for third country issuers

Finanstilsynet has granted certain exemptions, related to the annual report, to third country issuers listed on the Oslo Stock Exchange and listed in the U.S., having Norway as their home state in the EEA.

Suspension and temporary halt to trading in quoted financial instruments on grounds of failure to publish periodic financial reports

8 February 2010

From and including reporting for the fourth quarter 2009, Finanstilsynet (The Financial Supervisory Authority of Norway) will suspend listings of financial instruments and order a temporary halt to trading on Multilateral Trading Facilities (MTFs) if periodic financial reports are not made public.

Finanstilsynet, pursuant to the Securities Trading Act § 15-1, third paragraph, supervises the
periodic financial reporting of issuers of tradable securities who are listed, or have applied for
a listing, on a regulated market in the EEA and whose home state is Norway pursuant to the
Securities Trading Act § 5-4 (pdf).

Detailed rules concerning this supervision are stipulated in the Regulations to the Securities Trading Act of 29 June 2007 no. 876, chapter 13, part II.
